PARTICIPATION AGREEMENT
Please read in full this agreement to ensure you understand all the EMDR Intensives Retreat ("Training") requirements, expectations, and how to prepare yourself for the training. The Retreat Host, Kelly Smyth-Dent with Scaling Up LLC ("Company") will facilitate this Training.
ELIGIBILITY
You must be an EMDR trained therapist to attend this Training.
CANCELLATION & REFUND POLICIES
Because this training is so small and personalized, we do appreciate when participants can plan in advance and restrain from cancelling or transferring at the last minute. The closer to the training date, the more difficult it is to fill your spot. Therefore, if you register we strongly recommend that you block the dates on your calendar and prepare in advance to make the most of your time at the retreat.
Cancellation Policy: If you cancel 45-days or more before the first day of the retreat, then you will receive a full refund minus a $100 administrative fee. If you cancel your registration 44-days or less before the first day of the retreat, then the $600 deposit is forfeited. Any additional amount paid will be refunded. A no show to the retreat forfeits the full-amount paid.
Transfer Policy: We do know that emergencies and unexpected events do happen. We also know that filling your spot at the last minute can be challenging and sometimes impossible. Therefore, we will allow people to transfer their payment to another EMDR Intensives Retreat (with first priority) within the following guideline:

Transfer to a different cohort 45-days or more before the first day of the retreat costs $150 administrative fee

Transfer to a different cohort 45-days to 30-days before the first day of the retreat costs $250 administrative fee

Transfer to a different cohort 30-days or to 15-days before the first day of the retreat costs $450 administrative fee

Transfer to a different cohort 15-days or less before the first day of the retreat costs $600 administrative fee
PARTICIPATION WAIVER
You have voluntarily chosen to attend the EMDR Intensives Retreat (“Training”). This Training includes 2.5 days of interactive teaching, consultation and breakout groups to get your EMDR Intensives practice off the ground and implemented.
You understand that the "all-inclusive" nature of this Training, includes the lodging for 3 nights stay with breakfast and lunch during the training. It does NOT include transportation (flights, parking, Ubers, or Saturday & Sunday night dinners, etc).
In consideration of your attendance at the Training, you hereby agree to release, indemnify, and hold harmless the Company putting on the Training (Scaling Up, LLC), its owners, hired trainers, and your fellow attendees at the Training, from any and all liability occurring during and after your attendance at the Training. In particular, you acknowledge that you will not hold the Company liable for any expenses, bodily, mental or personal injuries that you sustain as a result of your attendance at or participation in the Training. Furthermore, you acknowledge that you are aware of and understand that your attendance and/or participation in the Training entails certain anticipated and unanticipated risks, and you assume all risks associated therewith as your responsibility.
The terms and conditions of this Participant Waiver shall be legally binding upon the undersigned and their respective estate, representatives, and assigns. I hereby acknowledge my voluntary and informed assumption of full responsibility and liability regarding any injuries that I may incur coincident to my participation in this Training. I hereby assume any and all risks associated with the Training and expressly waive, release, discharge and hold harmless Scaling Up, LLC, its owners, hired trainers, and my fellow attendees, from and against any and all expenses, property damage, and/or injuries sustained that arise out of, in association with, or related in any way to my participation in this Training.
This training and information by www.ScalingUpEMDR.com is sold on the understanding that the creator (Kelly Smyth-Dent) and other trainer (Sadie Smith) and contributors quoted in the material or presented in the trainings are opinions expressed solely of the presenter.
Nothing in this course/training should be considered legal, medical or ethical advice or as a substitute for consultation with a qualified attorney, medical doctor or your State Licensing Board regulations. If you are in need of a legal consult, your liability insurer or professional association may offer useful free resources. Kelly Smyth-Dent, Scaling Up LLC and other contributors, trainers and consultants will not be held liable, nor be responsible to any person or entity with respect to any loss or damage caused, or alleged to be caused, directly or indirectly by the use, application or reliance upon any information contained in these courses, trainings, emails, services provided or website (www.ScalingUpEMDR.com).
All therapists, NGO workers and others trained by Scaling Up, LLC, as well as any person receiving services from a person trained by Scaling Up or contracting with Scaling Up agree that Scaling Up and Kelly Smyth-Dent are not legally liable or responsible for the actions of these persons. All people trained by Scaling Up or providing services through a contract with Scaling Up are legally liable and responsible for their actions and services provided under their own individual and business malpractice and professional liability insurance. Scaling Up will not be held responsible for the services provided and actions of individuals.
WAIVER AND RELEASE
In exchange for participating in the Training, I, the below-signed Participant, hereby agree as follows:
TRAINING DEFINED. I am signing this Continuing Education Retreat, Tahoe Vista, CA. The Retreat includes all activities or events provided, organized, or sponsored by the Company in any way related to the Training.

WAIVER AND RELEASE. I HEREBY ASSUME ALL RISKS OF MY PARTICIPATION IN THE TRAINING and waive all claims and forever release Scaling Up, LLC and Kelly Smyth-Dent (200 Sagebrook Drive, Verdi, NV 89439) including its officers, employees, successors, assigns, partners, agents, heirs, representatives, and volunteers ("Company"), as applicable, in their individual or corporate capacities, of all claims, liabilities, agreements, and causes of action of any nature due to any injury, loss, or damage to person or property, including but not limited to serious or permanent physical injury, psychological injury, illness, death, and economic or emotional damages, that may arise out of my participation in the Training, notwithstanding that such injury, loss, or damage may be due to Company's negligence.
INDEMNIFICATION. I agree to indemnify, defend, and hold harmless Company against all claims, liabilities, damages, judgments, expenses, and causes of action of any nature, including attorney's fees and related costs, arising out of or related to my participation in the Training, whether or not such causes of action may be due to Company's negligence.
PHYSICAL AND MENTAL FITNESS. I do not have any physical or mental limitations or disabilities that may limit or prevent me from safely participating in the Training. I agree that I will not participate in the Training under the influence of any drugs that could impair my physical or mental abilities.
I agree to comply with all written and oral rules and instructions provided by Company regarding my participation in the Training.

All rights reserved. www.ScalingUpEMDR.com and all information, emails, trainings and courses included may not be reproduced in whole or part, stored, posted on the internet, or transmitted in any form or by any means, electronic, mechanical, photocopying, recording, or other, without written permission from the creator of this program, Sadie Smith or Kelly Smyth-Dent at www.ScalingUpEMDR.com.
VIDEO RECORDING CONSENT
We will be recording parts of the live Training and taking photos to use for marketing purposes. By attending this Training you are consenting to this. If you have any questions, reach out to us at info@scalingupemdr.com
I am signing this Agreement voluntarily and free of duress with the intention of binding my spouse, heirs, executors, legal representatives, and assigns, if any.
I have fully read and understood this Agreement, and I have been encouraged and had an opportunity to seek independent legal advice concerning this Agreement prior to signing.
GENERAL TERMS. This Agreement will be binding on and inure to the benefit of the parties and their respective heirs, representatives, executors, successors, and assigns. The terms of this Agreement are severable. This means that if any term of this Agreement is held to be invalid or unenforceable, then the remaining terms will continue to remain valid and enforceable. This Agreement represents the entire agreement between the parties and supersedes any and all prior oral or written agreements. This Agreement may not be modified except by the written consent of both parties. This Agreement will be governed and construed according to Tennessee law and will be broadly construed to release Activity Provider from liability to the maximum extent permitted by the applicable law.
ACKNOWLEDGEMENTS
I understand that I may not participate in the Training unless I sign this Agreement.
I AGREE THAT I AM PARTICIPATING IN THE TRAINING ENTIRELY AT MY OWN RISK. I UNDERSTAND THAT THE TRAINING INVOLVES CERTAIN INHERENT RISKS, INCLUDING THE RISK OF PHYSICAL INJURY AND PROPERTY DAMAGE, AND THAT BY SIGNING THIS AGREEMENT I AM ASSUMING FULL RESPONSIBILITY FOR THESE RISKS AND FOREVER GIVE UP MY LEGAL RIGHT TO SUE OR OTHERWISE CLAIM AGAINST ACTIVITY PROVIDER FOR ANY INJURY, PROPERTY DAMAGE, OR OTHER LOSS THAT I MAY SUSTAIN DUE TO MY PARTICIPATION IN THE ACTIVITY WHETHER OR NOT DUE TO COMPANY'S NEGLIGENCE.
